These Terms and Conditions ("Terms") govern your access to and use of the websites, applications, software, APIs, assessments, reports, communications, and related services provided by Dane Health, Inc. ("Dane Health," "we," "our," or "us").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

You represent and warrant that you are at least eighteen (18) years of age and possess the legal authority to enter into binding agreements.

If you are using the Services on behalf of an organization, healthcare provider, clinic, hospital, or other entity, you represent that you have authority to bind that entity to these Terms.

3. Description of Services

Dane Health provides healthcare workflow technologies, patient engagement tools, intake solutions, assessment workflows, AI-assisted reporting, communication services, and related software products.

Services may be modified, improved, expanded, discontinued, or updated at any time.

4. Healthcare Disclaimer

Dane Health is a technology provider and is not a healthcare provider, physician practice, hospital, emergency response service, or medical professional.

The Services are intended to support healthcare workflows and administrative processes. Information generated through the Services does not constitute medical advice, diagnosis, treatment recommendations, or professional healthcare services.

Clinical decisions remain solely the responsibility of licensed healthcare professionals.

5. Artificial Intelligence Disclaimer

Certain Services utilize artificial intelligence, machine learning, automation, and algorithmic processes.

AI-generated outputs may contain inaccuracies, omissions, assumptions, or recommendations that require independent review and verification.

Users are solely responsible for evaluating any AI-generated output before relying upon or distributing it.

6. Account Registration

Access to certain Services may require registration and the creation of user credentials.

You agree to:

  • Provide accurate information.
  • Maintain current account details.
  • Protect login credentials.
  • Promptly report unauthorized account activity.
  • Accept responsibility for activity occurring under your account.

7. Acceptable Use

You agree not to:

  • Violate applicable laws or regulations.
  • Interfere with platform security.
  • Attempt unauthorized access to systems or data.
  • Reverse engineer, copy, or exploit the Services.
  • Upload malicious software or code.
  • Circumvent usage limits or security controls.
  • Use the Services in a manner that harms patients, providers, or third parties.

8. Customer Responsibilities

Customers remain solely responsible for:

  • Obtaining legally required patient consents.
  • Ensuring compliance with applicable healthcare laws.
  • Configuring workflows appropriately.
  • Reviewing reports and outputs before clinical use.
  • Maintaining accurate records within their systems.

9. HIPAA and Healthcare Compliance

Where applicable, Dane Health may act as a Business Associate under HIPAA and may execute a Business Associate Agreement ("BAA") with eligible customers.

Customers remain responsible for compliance with laws and regulations governing healthcare practices, documentation, reimbursement, patient communications, and clinical decisions.

10. Intellectual Property

All software, source code, designs, workflows, interfaces, reports, trademarks, logos, text, graphics, documentation, and proprietary technology are owned by Dane Health or its licensors and are protected by applicable intellectual property laws.

No ownership rights are transferred to users through access to the Services.

11. Limited License

Subject to compliance with these Terms, Dane Health grants a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for authorized business purposes.

No right is granted to reproduce, redistribute, sell, sublicense, modify, or create derivative works of the Services.

12. Feedback

Any suggestions, comments, recommendations, feature requests, or feedback submitted to Dane Health may be used by Dane Health without restriction, compensation, or obligation to the user.

13. Privacy

Collection and processing of information are governed by the Dane Health Privacy Policy, which is incorporated into these Terms by reference.

14. Data Security

Dane Health employs commercially reasonable administrative, technical, and physical safeguards designed to protect data.

No method of transmission or storage can be guaranteed to be completely secure. Users acknowledge and accept such risks.

15. Third-Party Services

The Services may integrate with third-party software, electronic health records, cloud platforms, communication providers, analytics tools, and other external services.

Dane Health is not responsible for third-party products, services, security practices, availability, or content.

16. Subscription Fees

Certain Services may require payment of subscription fees, usage fees, implementation fees, or other charges.

All fees are due according to applicable agreements, proposals, order forms, or subscription plans.

Unless otherwise specified, fees are non-refundable.

17. Suspension and Termination

Dane Health may suspend or terminate access to the Services, in whole or part, at any time if:

  • These Terms are violated.
  • Required payments are not made.
  • Security risks are identified.
  • Use presents legal or operational concerns.

Upon termination, access rights immediately cease.

18. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DANE HEALTH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DANE HEALTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

DANE HEALTH SHALL NOT BE LIABLE FOR:

  • Lost profits
  • Lost revenue
  • Loss of data
  • Business interruption
  • Patient care decisions
  • Regulatory penalties
  • Third-party system failures

IN NO EVENT SHALL DANE HEALTH'S AGGREGATE LIABILITY EXCEED THE AMOUNT PAID TO DANE HEALTH FOR THE APPLICABLE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

20. Indemnification

You agree to defend, indemnify, and hold harmless Dane Health, its officers, employees, contractors, affiliates, and agents from claims, damages, liabilities, obligations, losses, judgments, and expenses arising from:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of applicable law.
  • Your infringement of third-party rights.

21. Force Majeure

Dane Health shall not be liable for delays or failures resulting from causes beyond its reasonable control, including natural disasters, internet outages, labor disputes, cyberattacks, governmental actions, or public emergencies.

22. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of law principles.

23. Dispute Resolution

Prior to initiating formal legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiations.

Any dispute not resolved informally shall be brought in the state or federal courts located within Arizona, and the parties consent to the jurisdiction of such courts.

24. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

25. Entire Agreement

These Terms, together with any applicable subscription agreements, order forms, Business Associate Agreements, and privacy policies, constitute the entire agreement between the parties regarding the Services.
